Quoridea Terms of Service
Draft for review. This document may change before paid plans open.
Version 0.1, 2026-10-28. Provider: Mitikasha LLC, 30 N Gould St, Ste N, Sheridan, WY 82801, United States ("Quoridea", "we", "us").
These terms govern the use of the Quoridea service at quoridea.com by an organization ("Customer", "you") and by the people the Customer allows to use it ("Users"). By creating an organization, starting a trial or buying a subscription, you accept these terms on behalf of the organization, and you confirm that you may bind it.
1. The service
Quoridea is a hosted system of record for an organization's innovation decisions: ideas, independent sealed scoring, named decisions, funding confirmation, delivery tracking, a benefits register and evidence packs. We describe the features of each plan on the pricing page. We may improve and change the service; we will not materially reduce the core features of a plan during a paid term.
Evidence packs produced by Quoridea are evidence supporting an innovation management system. They are not a certification, an award or a claim that the Customer conforms to any standard. Certification and award decisions belong to the certification bodies and award assessors alone.
2. Accounts and organizations
2.1 Each User has a personal account with a verified email address. Users keep their sign-in details confidential and tell us at security@quoridea.com if they suspect misuse.
2.2 The Customer's administrators decide who may enter the organization and in which role, including any external advisor (for example, a consultant) they invite. The Customer is responsible for its Users' actions in the service.
2.3 The Customer chooses the organization's hosting region (EU or US) when it creates the organization. The region cannot be changed later.
3. Free trial
A new organization starts with a free 30-day trial. No payment details are needed for the trial. During the trial the number of people who may be added is limited, as shown in the service. When a trial ends without a subscription, no new people can be added; the organization's data stays readable until it is deleted under section 9. Each company domain may start one trial.
4. Subscriptions, prices and payment
4.1 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing, you also agree to Paddle's buyer terms.
4.2 Prices are those published on our pricing page when you subscribe. Prices exclude sales tax and VAT, which Paddle adds at checkout where applicable. Quoridea alone sets prices: no partner or consultant may offer a different price, discount or term on our behalf.
4.3 Subscriptions renew automatically for the same term (monthly or annual) until cancelled. You can cancel at any time; access continues until the end of the paid period. Refunds follow our Refund Policy.
4.4 Plans with an employee band cover the number of employees you choose. Accounts may exceed the band by 10% before an upgrade to the next band is required. You may move up at any time (prorated) and down at renewal.
4.5 If a payment fails or a subscription lapses, the organization becomes read-only: its data stays readable and can be exported, and nothing is deleted before the end of the contract.
5. Acceptable use
You and your Users will not: use the service unlawfully or to store unlawful content; upload malware; try to reach another organization's data or to bypass the service's access rules, limits or security; test the service's security except under our vulnerability disclosure policy; resell or sublicense the service; or use it to send unsolicited messages. We may suspend access that puts the service or other customers at risk, and will tell you why unless the law prevents us.
6. Customer data
6.1 The Customer owns the data it and its Users put into the service ("Customer Data"). We use Customer Data only to provide, secure and support the service, as described in our Privacy Policy and, for personal data, our Data Processing Agreement, which forms part of these terms.
6.2 We do not sell Customer Data, use it for advertising, or use it to train artificial intelligence models.
6.3 Our security measures are described on our security page. Our subprocessors are listed on the subprocessors page.
7. Partners and referrals
Consultants may refer customers to Quoridea and may be invited by a customer as advisors. Referral is attribution only: a partner never sets, sees or changes your price, and you always pay Quoridea directly. A partner's access to your organization exists only by your invitation, ends on the date you set (at most 24 months ahead), and you can end it at any time.
8. Intellectual property
We own the service, its software and its content, including the evidence pack formats. We grant the Customer a non-exclusive, non-transferable right to use the service during the subscription or trial. Feedback you give us may be used to improve the service without obligation to you.
9. Term, termination and deletion
These terms apply while the organization exists. Either party may end a subscription at the end of its term. We may end these terms if the Customer materially breaches them and does not cure the breach within 30 days of notice. After the end of the contract, the Customer may export its data for 30 days; we then delete the organization's database, directory entries and files, and backups expire within a further 30 days.
10. Warranties and disclaimers
We will provide the service with reasonable skill and care. Apart from that, the service is provided "as is", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, and each party's total liability under these terms is limited to the amounts paid or payable by the Customer for the service in the 12 months before the event giving rise to the claim. These limits do not apply to a party's liability for fraud, or for amounts the Customer owes.
12. Changes to these terms
We may update these terms. We will post the new version here with its date and, for material changes, tell administrators by email at least 30 days before they apply to a paid subscription.
13. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules, and disputes are subject to the courts located in Wyoming. (to be confirmed)
